Site Areas: Areas of CanBiotech's site are subject to terms of use. By using such areas, or any part thereof, you agree to be bound by the terms of use applicable to such areas.

Users are prohibited from attempting to breach the terms and conditions associated with areas on on CanBiotech's Networks and/or violate the security of CanBiotech's Networks, including, without limitation, (a) accessing data not intended for such user, abusing access privileges or logging into a server or account which the user is not authorized to access, (b) attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures (c) attempting to interfere with service to any user, host or network, including, without limitation, via means of submitting a virus to the site(s), overloading, "flooding", "spamming", or "crashing", (d) sending unsolicited e-mail, including promotions and/or advertising of products or services, (e) aggregating, copying or duplicating in any manner any of the materials or information available from CanBiotech's Networks. Breaches of any terms and conditions can result in a member's account being removed and/or access to certain areas being denied. Violations of system or network security may result in civil or criminal liability. CanBiotech will investigate occurrences which may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting users who are involved in such violations.

Passwords: During the registration process users are required to provide a password as part of receiving a CanBiotech account. Users are responsible for safe-keeping of their passwords and assume all responsibility for the outcome in the event that passwords are shared. CanBiotech has instituted a 1 hour idle login to protect users. Within 1 hour of inactivity you will be logged out as a security measure-however it is advised that users logout at the end of a session and assume all responsibility for this.

Access Limitations: CanBiotech has instituted a strictly followed access limitation policy with regard to the directory. CanBiotech follows daily and monthly quota limitations. 

Fee Statement Process: Subscription fees can be paid via CanBiotech's online payment system or via invoicing. Payment online is required within 48 hours and payment via invoice is required within 10 business days.

Customers will be billed in Canadian Dollars by CanBiotech
 

Subscribers will be billed a monthly finance charge of 1.5% (with a minimum of $0.50) or the highest amount permitted by applicable law - whichever is lower - if a subscriber's account becomes past due. Subscribers also agree to pay all reasonable collection costs, including attorneys' fees. A subscriber's account may be suspended for non-payment or exceeding approved credit limits, and subscribers may be responsible for collection costs including attorneys' fees. A $25.00 U.S. service charge will be charged for returned checks.

Subscribers agree to maintain a current and valid e-mail address in their corresponding registration information and company profile.

To the extent registration, subscriber, or other information in the invoice is inaccurate, the subscriber agrees to provide CanBiotech with accurate and updated information.

Refunds: CanBiotech does not offer refunds for paid subscription fees.

Termination: If the User breaches any of the terms and conditions of this agreement, Canbiotech.com may immediately terminate this agreement. The User may terminate this agreement at any time by written notice to Canbiotech.com via email.

Warranties/Liabilities/Indemnification:

ALL PRODUCTS AND SERVICE OFFERED BY CANBIOTECH, INCLUDING BUT NOT LIMITED TO THE RFQ, RFP AND IP MARKETPLACE AND ANY INFORMATION PRESENTED ON THESE MARKETPLACES, ARE PRESENTED "AS IS" AND CANBIOTECH MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE MEMBER ORGANIZATIONS' INVOLVEMENT OR PARTICIPATION. CANBIOTECH DOES NOT REPRESENT OR WARRANT THAT THE INFORMATION PROVIDED ON THE MARKETPLACE, IN OUR DIRECTORIES, IN OUR REPORTS INCLUDING THIRD PARTY REPORTS REGARDING COMPANY/SERVICE/TECHNOLOGY PROFILES HAS BEEN VALIDATED NOR DOES CANBIOTECH REPRESENT OR WARRANT THAT THE INFORMATION IS ACCURATE. CANBIOTECH ALSO MAKES NO GUARANTEES AS TO THE SUCCESSFUL OUTCOME OF REQUESTS FOR QUOTES/PARTNERSHIPS, RESPONSES TO QUOTES/PARTNERSHIPS, IP LISTINGS AND IP RESPONSES ON AND OFFLINE OF CANBIOTECH’S SITE.

IN NO EVENT SHALL CANBIOTECH OR ITS AFFILIATES OR SUPPLIERS BE LIABLE FOR ANY DAMAGES, DIRECT OR INDIRECT OR SPECIAL OR CONSEQUENTIAL (INCLUDING NEGLIGENCE), LOST PROFITS OR LOST OPPORTUNITIES RESULTING FROM OR RELATED TO THE TERMS OF USE. THE USER AGREES TO BE RESPONSIBLE FOR ANY CLAIMS ARISING OUT OF ANY BREACH OF THE TERMS OF USE.

THE USER HEREBY AGREES TO INDEMNIFY, DEFEND AND HOLD CANBIOTECH AND ITS EMPLOYEES, OFFICERS, DIRECTORS, ADVISORS, SUCCESSORS AND ASSIGNS HARMLESS FROM AND AGAINST ALL LOSSES, COSTS, EXPENSES, LIABILITIES AND DAMAGES OF EVERY NATURE AND KIND, INCLUDING, WITHOUT LIMITATION, INTEREST, PENALTIES, REASONABLE ATTORNEYS' FEES AND ARBITRATION AND/OR LITIGATION COSTS ARISING OUT OF OR IN CONNECTION WITH THE TERMS OF USE OR IN ANY WAY RELATING TO THE SERVICE OR ANY PRODUCT PURCHASE.

All of the above terms and conditions apply to all of CanBiotech's networks.
